The following terms and conditions apply should you wish to use the Taft web site.
Definitions
Where used in this agreement:
"We", "Us", and "Our" refers to Taft, its successors and assigns.
"You" and "Your" refers to you the client, your successors and permitted assigns.
Registration
As part of the registration process You must provide Us with certain information, which You must ensure is accurate in all respects, and You agree to keep that information updated so that Our records are current, complete and accurate. Should that information change, You are responsible for ensuring that the information is updated immediately.
If You accept this agreement, You are requesting Us to supply products and/or services.
You must keep Your login and password details confidential. You are responsible for the security of this information and should not disclose it to any person unless it is absolutely necessary to do so.
We agree to keep all information You provide to Us confidential and secure and We will not disclose this information to any other person unless We have Your consent to do so, or it is reasonable for Us to assume You would have agreed to Us disclosing this information had We had the opportunity to obtain Your consent, or We are required to do so by law. You expressly consent to Us providing this information to Our Monitoring Services provider. We will comply with all relevant privacy laws.
Price and Payment for Goods and Services
You agree to pay to Us the fees for the supply of Goods and Services.
These fees are set out beside each item provided to You by Us and/or as set out on this website. We may vary these fees from time to time by notice to You, including via this website. You agree however, to any increase in these fees We may make at any time to reflect increases in Our fees, and annually to reflect increases in the Consumer Price Index.
Except in the event of manifest error, You are responsible for all fees incurred in relation to Your login and password, and the Goods and Services relating to same, irrespective of whether You are the person using that login or password.
We will forward a tax invoice to You for Our fees and We will debit Your credit card the specified account.
Should You fail to pay the fees due within seven (7) days of the due date, We may, at Our option terminate this agreement and the supply of the Goods and Services forthwith by notice in writing to You. Without limiting this right, We may charge interest on any outstanding payments at a rate of 3% per annum.
Intellectual Property
All information on this website, all documentation, plans, procedures, logos and other material provided by Us to You is Our intellectual property or the intellectual property of other persons. You must not use any of this information, documentation, plans, procedures or other material for any other purpose than for the purpose of receiving the Goods and Services.
Warranties and Liabilities
We will use Our best endeavours to provide the Goods and Services with due diligence. To the extent permitted by law, We will not be liable to You for any loss or damage You may suffer in the use of the Goods or Services other than loss or damage which results from a deliberately wrongful, unlawful or negligent act of Us or Our employees or sub-contractors, in which case We will be liable to You for direct loss only and only to a maximum aggregate of $10,000.00.
To the extent permitted by law, We exclude all implied warranties and conditions. If any law does not allow Us to so exclude implied warranties and conditions, to the extent permitted by law Our liability for same is limited to Us resupplying the relevant Goods and Services to You or paying to You the costs of having those Goods and Services resupplied.
Return of Faulty Goods
You will contact Us in writing by email (support@taft.com.au) detailing the fault and providing proof of purchase. We will confirmed your purchase and warranty period and issue you a Return Authorisation (RA) number. You will post the faulty goods to Us with the supplied RMA number within seven (7) days. We will not accept goods from You without a RA number.
You will pay any associated postage fees in returning the goods to Us.
Cancelled Orders
If You wish to cancel any order from Us, you are required to make Your request in writing by email (support@taft.com.au) detailing the Your order number and the reason for the cancellation.
Orders cancelled before shipment will incur a 2% order processing fee.
Orders cancelled during shipment will incur a 2% order processing fee, any credit card processing fees and any associated shipping charges. You must return the unopened goods within seven (7) days before We will refund to You any credit due.
Acknowledgement
You acknowledge that the Goods and the supply of any Services may fail at any time, and accordingly loss or damage to property and death or injury to persons may occur even though Our obligations to You under this Contract have been fulfilled and that We make no representation in this regard.
You acknowledge that You will ensure that no worms, viruses, malicious or harmful codes are introduced to this website through Your system.
You acknowledge that You will use reasonable efforts to ensure that Your premises are safe when Our staff attend Your premises to provide services.
You acknowledge that You agree that We may sub-contract to a third party all or part of any Services detailed in this agreement at Our absolute discretion.
Applicable Law
This agreement shall be construed and take effect in all respects in accordance with the laws for the time being in force in the State or Territory in which the premises are located. The parties hereto shall submit to the jurisdictions of the Courts of that State or Territory in respect of any matter or thing arising out of this Contract or pursuant thereto.
Notices
Any notices to be given hereunder may be served by either party by email, fax, registered post or by delivering the notice to either Our address and contact details as per Our branding above, or Your address and contact details as kept up-to-date by You via this website.
Assignment
You must not attempt to assign, transfer or novate this agreement to any other person.
